Terms of Use and Sale
These General Terms of Use and Sale (hereinafter the “Terms of Use/Sale” or the “Terms”) set out the terms and conditions under which MEROVA LLC makes the Lokalfinds platform available (accessible at lokalfinds.com, hereinafter the “Platform”) and govern its use by any User. Creating an account, posting a listing or subscribing to a paid service constitutes full, complete and unreserved acceptance of these Terms. Failing such acceptance, the User must refrain from accessing or using the Platform. These Terms prevail over any other document, save for an express written derogation granted by the Publisher.

1. Preamble
Lokalfinds is an introduction platform (a classified-ads marketplace) enabling individuals and professionals to post, browse and search listings for goods and services, primarily in Bali (Indonesia) and aimed at the expat and local community. The Platform acts exclusively as a technical host and introduction intermediary: it is NOT a party to the contracts concluded between Users, does not buy, sell, hold or ship any item, carries out no authentication or verification of the items, the services or the standing of the Sellers, and takes no commission on the transactions carried out between Users. The service is provided “as-is” and “as available”. The Platform is published and operated by MEROVA LLC, a limited liability company governed by the law of the State of Wyoming (United States), whose registered office is located at 30 N Gould St, Sheridan, WY 82801, United States.
2. Definitions
In these Terms, the following terms have the meanings set out below. “Publisher” or “Lokalfinds”: MEROVA LLC, operator of the Platform. “User”: any natural person of legal age or any legal entity creating an account or using the Platform. “Seller”: a User posting a Listing. “Buyer”: a User browsing a Listing or contacting a Seller. “Individual”: a free account, capped at three (3) active Listings at any one time. “Pro”: a paid account (Starter, Pro or Business plans) intended for professionals, traders, agencies and other economic operators. “Listing”: any publication describing an item or a service. “Boost”: a one-off promotion product. “Pack”: a monthly auto-renewing Pro subscription. “User Content”: any element (text, photograph, data) published by a User.
3. Registration and user account
Registration is free and subject to the provision of a valid email address. By creating an account, the User represents and warrants that (i) they are a natural person at least eighteen (18) years old with full legal capacity to contract, or are acting in the name and on behalf of a duly authorised legal entity, and (ii) the information provided is accurate, complete and kept up to date throughout the period of use. The User is solely responsible for preserving the confidentiality of their login credentials and for any activity carried out from their account. Any identity theft, false declaration or creation of multiple accounts intended to circumvent the limits or a suspension measure may result in the suspension or termination of the account without notice or compensation. The User undertakes to notify the Publisher without delay of any unauthorised use of their account.
4. Posting listings
Each Listing must be genuine, truthful, accurate and compliant with the applicable Indonesian legislation as well as with these Terms. The Seller warrants that they hold all the rights necessary in respect of the item or service offered and the content published. Photographs must faithfully depict the item actually offered, to the exclusion of any generic or misleading visual or any visual protected by a third-party right. Posting limits: an Individual account is capped at three (3) active Listings and three (3) photographs per Listing; a Pro account benefits from an extended Listing volume and up to fifteen (15) photographs per Listing, depending on the plan subscribed to. Relevant categorisation and honest geolocation are mandatory. In order to protect the Seller's privacy, the Platform never exposes the exact GPS coordinates of an item: only an approximate location (obfuscation of approximately ±200 to 400 m) and an indicative area (a circle of approximately 750 m) are displayed. The Publisher reserves the right to refuse, reclassify or remove any non-compliant Listing.
5. Prohibited content
The following are strictly prohibited from being published, offered for sale or promoted, including without limitation: products or services that are unlawful under Indonesian or international law; firearms, ammunition, explosives and prohibited weapons; narcotics, regulated substances and their accessories; protected animal or plant species and derived products (CITES Convention); counterfeits and infringements of intellectual property rights; medicines, medical devices and supplements subject to authorisation; illegal services (in particular prostitution, escort services, unauthorised gambling, money laundering); content that is hateful, discriminatory, defamatory, violent, sexist, racist or pornographic; third parties' personal data; as well as any item or service whose sale is restricted or prohibited by law or by the Platform's community rules. Any breach results in the immediate removal of the content concerned and may give rise to the suspension or termination of the account, without prejudice to legal proceedings and reports to the competent authorities.
6. Moderation
The Publisher operates a moderation system combining automated controls (keyword filtering, format and consistency checks) and human review, in particular upon report. Any significant moderation decision liable to affect a User is subject to human oversight. The Publisher reserves the right, in its sole discretion and in compliance with the applicable mandatory provisions, to moderate, refuse, hide, de-index, suspend or delete any Listing or any account that breaches these Terms or the law, without notice or compensation. A User whose Listing or account has been subject to a moderation measure may challenge its merits by sending a reasoned complaint to contact@lokalfinds.com; a response will be provided within a reasonable time.
7. Pro accounts and paid packs
Access to the professional features is obtained by subscribing to one of three monthly subscription plans: Starter, at IDR 490,000 per month, allowing up to 25 active Listings; Pro, at IDR 990,000 per month, allowing up to 100 active Listings and the award of a “verified” badge; Business, at IDR 2,490,000 per month, allowing an unlimited number of Listings, the management of a multi-user agency and priority support. A fourteen (14) day trial period is offered upon first subscription. Unless otherwise stated, subscriptions renew automatically on a monthly basis. The User may cancel at any time from their account; cancellation takes effect at the end of the current billing period, with no refund — even partial or pro rata temporis — of the sums already paid. Prices are stated exclusive of any taxes that may apply. The Publisher reserves the right to change its prices subject to thirty (30) days' notice, the new prices applying only to billing periods subsequent to their entry into force.
8. Boosts and one-off options
Boosts (top-of-list placement, “Urgent” tag, additional photographs and other visibility options) are one-off digital products, purchased individually, whose effect is temporary and whose duration is specified at the time of purchase. The User expressly acknowledges that the performance of these products begins immediately after purchase and, accordingly and in keeping with the digital nature of the service, waives any right of withdrawal. Boosts are neither transferable, exchangeable nor refundable, save in the event of a proven technical defect attributable to the Publisher and duly established, in which case the User may claim, to the exclusion of any other compensation, an equivalent re-display or a refund of the product concerned.
9. Payment
Payments relating to Packs and Boosts are processed through Stripe, an international payment services provider, in accordance with its own terms. The Publisher does not have access to full card details and stores none of them on its servers. No payment relating to a transaction between a Buyer and a Seller passes through the Platform: any settlement takes place directly between the Users, off-Platform, under their sole responsibility. The Platform provides no payment, escrow, guarantee or financial intermediation service in respect of transactions between Users, who alone bear the risks thereof.
10. Liability
The Publisher uses reasonable means to ensure the reliability, security and availability of the Platform, without however guaranteeing uninterrupted or error-free operation; this is a best-efforts obligation. As the Platform is not a party to the transactions and carries out no authentication of the items, the services or the Users, the Publisher cannot be held liable for disputes, fraud, scams, non-conformities, defects, delays, payment or delivery failures, or for any direct or indirect damage resulting from the relationships between Users or from the use of the Platform. To the extent permitted by applicable law, the Publisher's aggregate liability, should it be incurred, is limited to the amount of the sums actually paid by the User to the Publisher during the twelve (12) months preceding the event giving rise to liability. These limitations do not apply in the event of gross negligence or wilful misconduct and do not affect the mandatory rights granted to consumer Users.
11. Personal data
The processing of Users' personal data is governed by the Privacy Policy, an integral part of these Terms, accessible from the footer (/confidentialite). It describes in particular the categories of data processed, the purposes, the legal bases (article 6 of the GDPR and Indonesian Law UU PDP No. 27/2022), the recipients, the retention periods, any transfers, as well as the rights granted to data subjects and how to exercise them. By using the Platform, the User acknowledges having read this Policy.
12. Intellectual property
The “Lokalfinds” trademark, the domain name, the logo, the graphic identity, the architecture, the databases, the source code and all the editorial content of the Platform are protected by intellectual property law and remain the exclusive property of MEROVA LLC or its licensors. Any reproduction, representation, adaptation, extraction or re-use, in whole or in part, without prior written authorisation, is prohibited and liable to constitute an infringement. Content published by Users (Listing texts and photographs) remains their property; by publishing it, the User grants the Publisher a worldwide, non-exclusive licence, transferable to its technical subcontractors, free of charge and granted for the legal term of protection, for the sole purposes of hosting, displaying, reproducing, technically adapting and promoting the Platform and the said Listings, including on its technical mirrors and in its communications. The User indemnifies the Publisher against any third-party claim relating to the content they publish.
13. Suspension and termination
The Publisher may suspend or terminate an account as of right, without notice in the event of a serious breach, in particular: publication of prohibited content, fraud, abuse, non-payment, infringement of the rights of a third party or of another User, or failure to comply with these Terms. The User, for their part, may terminate their account at any time from their settings; their active Listings are then removed from the Platform within a maximum of twenty-four (24) hours. Upon termination, the data is deleted or anonymised, subject to the retention periods imposed by law (in particular technical logs and accounting and tax obligations) as specified in the Privacy Policy. Termination does not give rise to any refund of the sums already paid.
14. Changes to the Terms
The Publisher reserves the right to amend these Terms in order to adapt them to legal, regulatory, technical, functional or pricing developments. Any material change is brought to Users' attention by email and/or by an information banner within the Platform, at least thirty (30) days before it takes effect. Continued use of the Platform beyond that date constitutes acceptance of the amended Terms. A User who refuses the new Terms may terminate their account free of charge before they take effect.
15. Governing law and jurisdiction
These Terms are governed by the law of the State of Wyoming (United States), the Publisher's state of incorporation, excluding its conflict-of-laws rules. Prior to any contentious action, the parties will endeavour to resolve their dispute amicably. Failing agreement, and subject to the provisions below, any dispute falls within the jurisdiction of the competent courts of the State of Wyoming. This choice-of-court and choice-of-law clause applies without prejudice to protective mandatory provisions: Users who qualify as consumers and reside in the European Union retain the benefit of the mandatory provisions of the law of their country of residence and the right to bring proceedings before the courts of that country. Nothing in these Terms may deprive a consumer of the rights guaranteed to them by the applicable public policy.
16. Final provisions
If any of the provisions of these Terms is declared void, unlawful or unenforceable, in whole or in part, the other provisions shall retain their full force and effect, and the provision concerned shall be replaced by a valid provision of equivalent economic effect. The Publisher's failure to invoke a breach or a provision shall not constitute a waiver of its right to invoke it at a later date. The Publisher cannot be held liable for the non-performance of its obligations in the event of force majeure or an event beyond its reasonable control (in particular natural disaster, failure of a network or a supplier, act of authority, cyberattack). The User may not assign these Terms without the Publisher's agreement. These Terms, together with the Privacy Policy and the Cookie Policy, express the entire agreement of the parties and prevail over any prior document or exchange.
